The Meals On Wheels Association of America is the oldest and largest national organization composed of and representing local, community-based Senior Nutrition Programs in all 50 U.S. states, as well as the U.S. Territories. These local programs are our MOWAA Members.

Meal Deliveries : All told, there are some 5,000 local Senior Nutrition Programs in the United States. These programs provide well over one million meals to seniors who need them each day. Some programs serve meals at congregate locations like senior centers, some programs deliver meals directly to the homes of seniors whose mobility is limited, and many programs provide both services.

User Agreement : MOWAA STUDIO LIMITED LICENSE Agreement (“Agreement”) Terms and CONDITIONS By placing an order and using or exercising any rights to the photographs, animations, illustrations, images, videos, files, footage, media content or other items (“Content”) provided to you by the Meals On Wheels Association of America, Inc. (“MOWAA”) through the MOWAA Studio, you hereby acknowledge, accept and agree that you, individually or on behalf of your employer or any other individual or entity for whom you are making such purchase (collectively, “You”), have reviewed, understand and accept this Agreement for this perpetual, non-exclusive, non-transferable, world-wide Limited License (“License”) granted to You by MOWAA subject to the Terms and Conditions contained in this Agreement. If You are accepting on behalf of your employer or other individual/entity, You represent and warrant that You have full legal authority to bind your employer or such other individual/entity. If You do not have such authority or You do not accept or agree with these Terms and Conditions, do not accept the Agreement and do not download or use the Content. You also agree that You have had the opportunity to seek the advice of an attorney before agreeing to be bound to these Terms and Conditions. All Content provided by the MOWAA Studio is subject to and is protected by copyright law and other commercial law. Other than the License provided for herein, all rights in and to the Content, including, without limitation, all copyright and other intellectual property rights relating to the Content, are retained by MOWAA, and You are only granted a limited License to use such Content according to the Terms and Conditions contained herein. This License gives You the right to use the Content on or in any type of medium for any purposes not inconsistent with these Terms and Conditions and with the mission of MOWAA. This License is granted to You without any time limit as long as You continue to comply with these Terms and Conditions. Any use not expressly permitted by this Agreement shall be prohibited, shall result in the termination of this License and shall constitute infringement of copyright. All copyright and other intellectual property rights pertaining to the Content are owned by MOWAA, and the granting of this License does not imply a transfer of ownership. As Content is protected, You are therefore under the obligation to use the Content in a manner like any other protected product using the same safeguards as You normally use to protect such property of a similar character, but at least using reasonable care. Any partial or complete reproduction of any Content without the advance permission of MOWAA is prohibited. Permitted Uses: Except as provided for herein for Commercial Use, Content may be used an unlimited number of times for advertising, promotion, packaging, on-line use and related purposes in any medium (printed materials, brochures, posters, presentations, film, commercials, etc.) but not for Commercial Uses as defined below. Content may be used for or on electronic publications, webpages and online videos. While Content (such as photographic images) may be resized proportionally from the original size as received from MOWAA, other modifications to Content are prohibited (see below). Also permitted are other uses specifically approved in advance by MOWAA. Prohibited Uses: You may not: transfer, convey, give, sell, re-sell, rent, lend, assign, sub-license or otherwise transfer or distribute the Content (electronically or otherwise) or the rights granted under this Agreement, or use Content in a way intended for transfer, resale, sublicense, or the electronic or other distribution of Content alone or in conjunction with products or services (collectively “Commercial Use”) in whole or in part without the advance written permission of MOWAA and the completion and approval by MOWAA of the Agreement Addendum for Limited License for Commercial Use of Content available through the MOWAA Studio. However, You may physically transfer Content from one location to another and may transfer or give Content to a employee or contracts for limited purposes of productions and reproduction. For example, You may not place a Content photographic image on a T-shirt or mug and sell such items without permission from MOWAA. MOWAA retains and is entitled to all commercial rights to the Content (except for third party trademark and rights that are otherwise protected); use Content as any part of a trademark, trade or business name, service mark or logo; use or display Content in any way that would suggest an endorsement by You, MOWAA or any model or entity displayed in such Content and further, no image of any model or person in Content may be displayed in any manner that depicts such person in a potentially sensitive or suggestive manner that could reasonably be offensive or unflattering to such model or person or to the public; remove any notice of copyright, trade-mark or other proprietary right from any place where it is included on or in Content; use or display Content in an electronic format that enables it to be downloaded, distributed or shared in any manner or format; use Content in any manner or way which suggests or is or which may be perceived to be pornographic, political, slanderous, immoral, offensive or degrading; and, use Content in any way inconsistent with the Terms and Conditions of this Agreement Termination. This Agreement shall remain in effect until it is terminated. This Agreement shall be terminated when Content is no longer used and all Content is destroyed. The Agreement shall also terminate automatically and the License shall end with or without notice if You breach or fail to comply with any Term or Condition contained herein. Upon termination, You must cease using Content and destroy or delete all copies and uses of Content. You may be requested to confirm such action by MOWAA. Fair Dealing Rights. Nothing in this License is intended to reduce, limit, or restrict any uses free from copyright or rights arising from limitations or exceptions that are provided for in connection with the copyright proIf You receive any notice for MOWAA or elsewhere or have other knowledge that any Content is subject to a threatened, potential or actual claim of infringement of another's right for which MOWAA may be liable, You must immediately and at your own expense (i) stop using the Content; (ii) delete or remove the Content from your premises, computer systems and storage (electronic or physical); and (iii) ensure that your clients, printers or ISPs do likewise. MOWAA will provide You with comparable Content at no cost to You under the same Terms and Conditions as provided for herein. OTHER THAN AS EXPRESSLY PROVIDED HEREIN, THE CONTENT IS PROVIDED “AS IS” WITHOUT REPESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. MOWAA DOES NOT REPRESENT OR WARRANT THAT THE CONTENT WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL BE UNINTERRUPTED OR ERROR FREE OR ACCEPTABLE FOR ITS INTENDED USE. IN NO EVENT SHALL MOWAA OR ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE CONTENT, OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF MOWAA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE. NO ACTION, REGARDLESS OF FORM OR NATURE, ARISING OUT OF THIS AGREEMENT MAY BE BROUGHT BY OR ON BEHALF OF YOU MORE THAN TWO (2) YEARS AFTER THE CAUSE OF ACTION FIRST AROSE. NOTWITHSTANDING ANY OTHER TERM HEREIN, MOWAA SHALL NOT BE LIABLE FOR ANY DAMAGES, COSTS OR LOSSES ARISING AS A RESULT OF MODIFICATIONS MADE TO THE CONTENT BY YOU OR THE CONTEXT IN WHICH THE CONTENT IS USED BY YOU. You agree to indemnify, defend and hold MOWAA and its directors, officers, employees and agents (collectively, the “MOWAA Indemnities”) harmless from and against any and all claims, liability, losses, damages, costs and expenses (including reasonable legal fees on a solicitor and client basis) incurred as a result of or in connection with any breach or alleged breach by You or anyone acting on your behalf of any of the terms of this Agreement. You hereby agree that You are or represent a non-profit entity and that this purchase is not subject to the collection of sales taxes. If not, You agree to pay and be responsible for any and all sales taxes, use taxes, value added taxes and duties imposed by any jurisdiction as a result of the license granted to You, or of your use of the Content, pursuant to this Agreement. MOWAA’s failure to enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. This Agreement is not assignable by You without MOWAA’s prior written consent. If all or part of this Agreement is unenforceable, the parties or, in the event the parties are unable to agree, a court of competent jurisdiction, shall put in place of such whole or part provision an enforceable provision or provisions, that as nearly as possible reflects the terms of the unenforceable whole or part provision. This Agreement may be amended at any time by MOWAA with or without notice to You. You shall be responsible for the review of the Terms and Conditions prior to the Use of Content and You agree and consent to the Terms and Conditions in place at the time of Use of Content.
